Identify the actual party

Check the legal name, address and signatory’s authority. Establish which group company takes the obligations. Its legal identity may differ from the trading name.

Separate language, law and courts

The contract’s language does not automatically determine its governing law. Choosing the law and choosing where disputes are heard are different. Check clauses alongside mandatory rules and applicable protections.

Describe performance

Specify goods or services, currency, deadlines, delivery and acceptance. Explain how problems are reported and performance proved. Define the version and obligations of any technical trade terms.

An imagined example

An Italian business buys a machine abroad. The price alone does not explain who pays transport, insurance or installation. Agree these points before signing.

Coordinate expertise

Important transactions may need a professional in the other country, plus tax and technical advisers. EU guidance must not automatically be applied to contracts involving countries outside the EU.
